Trust Bank PLC has announced a tender offer to buy shares held by qualifying shareholders in Ghana as the bank moves closer to delisting from the Ghana Stock Exchange.

The offer is being undertaken on behalf of Solo Dabo Company Limited, which will purchase all 7,328,773 ordinary shares held by qualifying shareholders on Trust Bank’s Ghana register at GH¢1.20 per share.

The move follows a special resolution approved by shareholders at Trust Bank’s 26th Annual General Meeting on 4 July 2024, allowing the company to delist from the Ghana Stock Exchange. Trust Bank said the decision is part of its plan to optimise resources and focus on its core operations in The Gambia.

Tender Offer Opens on August 17

The tender offer will officially open at 9:00 am on 17 August 2026 and close at 4:00 pm on 11 September 2026.

Settlement is scheduled for 18 September 2026, while the results of the offer are expected to be submitted to the Securities and Exchange Commission and the Ghana Stock Exchange on 23 September 2026.

Trust Bank is expected to be formally delisted from the Ghana Stock Exchange on 25 September 2026 at 10:00 am.

What Shareholders Need to Do

Shareholders who hold their Trust Bank shares electronically through the Central Securities Depository (CSD) will need to instruct their stockbroker to tender and sell their shares to the sponsor through the Ghana Stock Exchange during the offer period.

Shareholders who still hold physical share certificates must complete the Form of Acceptance, attach a valid ID such as a Ghana Card and submit their original share certificates.

The documents must be submitted to Databank Brokerage Ltd, the sponsoring broker, or UMB Registrars, the receiving agent, no later than 4:00 pm on 11 September 2026.

Trust Bank said the offer circular has already been distributed electronically to qualifying shareholders who were on the Ghana register as of 12 August 2026.

The bank has advised shareholders to carefully review the offer documents and consult their stockbroker, investment adviser, banker or legal professional before deciding whether to accept the offer.

Once the delisting is completed, Trust Bank PLC will no longer have its shares listed for trading on the Ghana Stock Exchange.
